Terms of Service

Agreement

These Terms of Service (“Terms”) govern access to and use of Perch, a product of Radii Technologies LLC (“Radii,” “we,” “us,” or “our”). By creating an account, accessing Perch, or allowing users under your organization to use Perch, you agree to these Terms.

The service

Perch provides field labor accountability and time tracking for construction and related organizations. Features may include worker assignments, hours capture, location and project day records, reporting, and optional third-party integrations such as QuickBooks Online.

Accounts and acceptable use

Organizations are responsible for the accounts issued to their users, for maintaining the confidentiality of credentials, and for activity that occurs under those accounts. You agree to use Perch only for lawful business purposes and not to misuse the service, attempt unauthorized access, interfere with the service, or submit unlawful or infringing content.

Organizations are responsible for the accuracy of hours, worker assignments, and other labor data they submit or approve in Perch.

QuickBooks integration

If your organization connects QuickBooks Online, Perch may map workers to QuickBooks employees and write time-activity records into your QuickBooks company. The QuickBooks integration is provided as-is. Your organization remains solely responsible for reviewing payroll and timekeeping data in Perch and QuickBooks before running payroll or making payment decisions. Radii is not responsible for payroll outcomes, tax filings, wage payments, or errors arising from data your organization submits, maps, reviews, or fails to review.

Fees

Any fees, billing, or commercial terms for Perch are governed by a separate agreement between Radii Technologies LLC and your organization. These Terms intentionally omit payment terms.

Disclaimer of warranties

Perch is provided “as is” and “as available.” To the maximum extent permitted by law, Radii disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

Limitation of liability

To the maximum extent permitted by law, Radii Technologies LLC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to Perch or these Terms, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages.

Without limiting the foregoing, Radii’s total liability for any claim arising out of or related to Perch or these Terms will not exceed the amounts paid by your organization to Radii for Perch in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars if no such fees were paid.

Termination

You may stop using Perch at any time. Radii may suspend or terminate access if you violate these Terms, if required by law, or if needed to protect the service or other users. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and governing law.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the effective date above and post the updated Terms on this page. Continued use of Perch after the updated Terms take effect constitutes acceptance of the changes. If you do not agree, you must stop using Perch.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Courts located in California will have exclusive jurisdiction over disputes arising out of or relating to these Terms or Perch, except where applicable law requires otherwise.
